These Terms and Conditions (“Terms”) govern your participation in the Altar of Sacrifice feature of the Guild of Guardians game (the “Altar”) provided by Leonis Pty Ltd ACN 639 363 44 (“Company,” “we” or “us”). By using the Altar feature, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not participate in the Altar feature of the Guild of Guardians game. 

Before accepting these Terms and using the Altar, you may need to register, access and use other services provided by the Company and its related entities, including but not limited to the Guild of Guardians Terms and Conditions, Guild of Guardians NFT Terms of Sale, Privacy Policy and you should read this disclaimer as published on our website (the “Platform”) and each as amended from time to time. Where any inconsistency arises between these Terms and the aforementioned policies, these Terms shall prevail.

The Non-fungible Tokens, or NFTs, that we issue are not intended for speculative use. They are not sold or represented to be any kind of financial product, financial investment or security. Nothing we publish is in any way financial advice to you or any person. NFTs are designed to possess different utility which allows their owners to access different features or functions in the Guild of Guardians game, though we do not guarantee there will be any use for the NFTs you purchase from us. Neither do we guarantee there will be any value in the NFTs you purchase from us. The fact that NFTs may or may not have tradeable value does not affect their nature. Before acquiring any NFTs or using the Altar, you acknowledge and accept the risks that the market value or prices of any NFTs issued by the Company may fluctuate from time to time.

Similar to physical, real-word collectibles (such as collectible baseball cards), the NFTs issued by the Company are intended to be digital collectibles. These NFTs are powered by blockchain technologies such that the ownership of them can be recorded on a blockchain. Any Output NFTs subject to Altar are offered as a product for sale which are purchased with Input NFTs (see definitions below). 

1. Background

                       1.1 The Company is the developer of Guild of Guardians, a mobile based game powered by blockchain technologies (“Game”).

                       1.2 The Company issues in-game non-fungible tokens (“NFTs”) that have utility in the Game. There are different kinds of NFTs, all of which have varying degrees of utility in the Game. These NFTs may be traded on marketplaces or on a peer to peer basis. 

2. Project Overview
   • 2.1 The Altar is a feature of the Game that allows you to “sacrifice” (relinquish, burn or cancel) one or more NFTs (“Input NFTs”) in order to receive one or more NFTs (“Output NFTs”). 
   • 2.2 The list of Input NFTs and Output NFTs for use in Altar may change from time to time subject to the sole discretion of the Company. However, prior to making any change (including any addition or removal) to Input NFTs and/or Output NFTs, the Company will notify users of the change on its Platform, by blog post or other notice published by the Company.
   • 2.3 The Platform, blog post or notice will set out:
     • (a) Input NFTs which you can sacrifice through the Altar; and
     • (b) Output NFTs that you could possibly receive through the Altar (subject to the specifications set out in clause 3 below); and 
     • (c) the combination(s) or variations of combination(s) (each a “Recipe”) of Input NFTs that you must sacrifice in order to receive Output NFTs from the Altar.
3. Project specifications
   • 3.1 Subject to the Eligibility requirements in clause 4 further below, if your Input NFTs match a Recipe, the Company will allow you to place an order (“Order”) with the Altar and sacrifice Input NFTs.
   • 3.2 By successfully placing an Order to sacrifice Input NFTs, you:
     • (a) sacrifice, burn and relinquish your Input NFTs, meaning that you will lose any and all proprietary rights in the Input NFTs. This process is irreversible due to the nature of NFTs and blockchain technology; and
     • (b) are entitled to receive Output NFTs in accordance with the matching Recipe. 
   • 3.3 You acknowledge and accept that there is no guarantee as to which specific Output NFTs you will receive upon a successful Order. This is because the Altar has the following specifications: 
     • (a) each Recipe will specify Output NFTs you will possibly receive according to the Recipe;
     • (b) not all Output NFTs in a Recipe will be received by you through a successful Order;
     • (c) different Output NFTs in the same Recipe possess different levels of rarity, maximum supply and current supply, hence the availability of these Output NFTs will vary at different points in time;
     • (d) the specific Output NFTs you will receive in accordance with a Recipe is determined by a pre-set computer algorithm, dependent on the following factors:
       • (1) the availability of different Output NFTs at the time when your Order is processed;
       • (2) the specific point in time when your Order is processed; and
       • (3) the time sequence of your Order against Orders submitted by other users of Altar.
   • 3.4 The specific Output NFTs that you will receive through placing a successful Order in the Altar is determined by a pre-set by a computer algorithm, the content of which will not be disclosed to you. 
   • 3.5 Your receipt of Output NFTs upon successfully placing an Order is a purchase of NFTs from the Company and subject to the Guild of Guardians NFT Terms of Sale. 
   • 3.6 The Company reserves the right to modify, suspend, or terminate the Altar or any specifications therein (including the pre-set computer algorithm) at any time, in its sole discretion, without prior notice to you. This will not affect your ownership of any Output NFTs already purchased through the Altar. 
4. Eligibility
   • 4.1 You must be at least 18 years old to use the Altar.
   • 4.2 You must have a valid Game account registered with the Company.
   • 4.3 You must have an eligible digital wallet that is connected with your Game account. 
   • 4.4 You must meet any additional eligibility requirements under other applicable terms and conditions or specified by the Company in its sole discretion from time to time.
5. Intellectual Property
   • 5.1 Subject to the Guild of Guardians NFT Terms of Sale and any other applicable terms and conditions, you acknowledge that any intellectual property associated with the Altar, any Input NFTs and Output NFTs are solely owned by the Company.
6. Compliance with Laws and Guidelines
   • 6.1 You agree to comply with all applicable laws and regulations while using the Altar. 
   • 6.2 You shall not engage in any activities that are fraudulent, misleading, deceptive, or illegal or any behavior or trading mechanism intended to manipulate, circumvent or give a false appearance of trading or gameplay activity.
   • 6.3 You shall not engage in any activities that may harm the reputation or integrity of the Game or the Company.
7. Termination
   • 7.1 The Company may immediately terminate your use of or access to the Altar at any time without prior notice in the event you breach any material provision of these Terms.
   • 7.2 Without prejudice to clause 7.1, the Company may also terminate your access or use of the Altar if you breach any of these terms and fail to remedy the breach to the reasonable satisfaction of the Company within a reasonable time after the Company provide you with a written notice setting out the breach or where the breach is, in the Company’s sole discretion, incapable of being remedied. 
8. Limitation of Liability
   • 8.1 To the maximum extent permitted by law:
     • (a) the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Altar, even if advised of the possibility of such damages; and
     • (b) the Company’s total liability in connection with your use of the Altar shall not exceed the total market value of the Input NFTs sacrificed by you at the time when an Order is accepted and this clause shall operate as a cap on the Company’s maximum liability arising under any theory of law or claim.
9. Modifications
   • 9.1 The Company reserves the right to modify these Terms at any time, in its sole discretion, by providing notice to you or by posting the updated Terms on the Platform. 
   • 9.2 You agree to the modified Terms if you continue to access and use the Altar after the modified Terms are notified to you, or published on our Platform. If you do not agree to the modified Terms, you must discontinue your use of the Altar.
10. Governing Law and Jurisdiction
    • 10.1 These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
    • 10.2 The parties agree to submit any dispute or claim arising out of, relating to or in connection with these Terms, including its subject matter, formation, existence, validity or termination, to the exclusive jurisdiction of the courts of New South Wales, Australia.
