‍Terms & Conditions

These Terms and Conditions (“Terms”) apply when you utilise  Prayers in the Guild of Guardians game (the “Game”)and associated storefront (“Store”) provided by Leonis Pty Ltd ACN 639 363 44 (“Company,” “we” or “us”). By utilising or interacting with Prayers or Store, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not utilise Prayers or the Store. 

Before accepting these Terms and interacting with Prayers, you may need to register, access and use other services provided by the Company and its related entities, including but not limited to the services subject to the Guild of Guardians Terms and Conditions, Guild of Guardians NFT Terms of Sale, Privacy Policy, and the Guild of Guardians – The Altar of Sacrifice Promotional Terms and Conditions and you should read this disclaimer as published on our website (the “Platform”) and amended from time to time. Where any inconsistency arises between these Terms and the aforementioned terms and conditions, these Terms shall prevail.

General Risk Warning & Project Disclaimer

The Non-fungible Tokens, or NFTs, that we issue are not intended for speculative use. They are not sold or represented to be any kind of financial product, financial investment or security. Nothing we publish is in any way financial advice to you or any person. NFTs are designed to possess different utility which may allow their owners to access different features or functions in the Guild of Guardians game, though we do not guarantee there will be any use for the NFTs you purchase from us. Neither do we guarantee there will be any value in the NFTs you purchase from us. The fact that NFTs may or may not have tradeable value does not affect their nature. Before acquiring any NFTs or using the Store, you acknowledge and accept the risks that the market value or prices of any NFTs issued by the Company may fluctuate from time to time.

Similar to physical, real-word collectibles (such as collectible baseball cards), the NFTs issued by the Company are intended to be digital collectibles. These NFTs are powered by blockchain technologies such that the ownership of them can be recorded on a blockchain. Prayers are offered as a product for sale in exchange for fiat currency or ERC-20 tokens accepted by us from time to time (see definitions below). 

1. Background

• 1.1 The Company is the developer of the Game, a mobile based game powered by blockchain technologies.
• 1.2 The Company issues in-game Non-Fungible Tokens (“NFTs”) that have utility in the Game. There are different kinds of NFTs, all of which have varying degrees of utility in the Game. These NFTs may be traded on a marketplace or peer to peer basis.

2. Project Overview

• 2.1 “Prayers” are NFTs available for purchase at https://www.guildofguardians.com/store on the Store. The Store allows you to use fiat currency or one or more ERC-20 digital tokens accepted by us from time to time to purchase one or more Prayers for use in the Guild of Guardians game. 
• 2.2 The Prayers or other NFTs available for purchase may change from time to time subject to the sole discretion of the Company. However, prior to making any change (including any addition or removal) to the Prayers, the Company will notify users of the change on its Platform, by blog post or other notice published by the Company.
• 2.3 The Platform, a blog post or notice will set out the combination(s) or variations of combination(s) of NFTs (i.e. Prayers or bundles) that are available and which you may receive (subject to the specifications set out in clause 3 below) by participating in and purchasing NFTs through the Prayer feature of the Guild of Guardians game.
• 2.4 Prayers can be sacrificed or burned in the Altar of Sacrifice feature of the Game in return for minting new NFTs subject to the Guild of Guardians – The Altar Promotional Terms and Conditions.

3. Project specifications

‍

• 3.1 Subject to the Eligibility requirements in clause 4 further below, the Company will allow you to place an order (“Order”) to purchase Prayer(s) through the Store.
• 3.2 By successfully placing an Order, you can purchase Prayer(s) using ERC-20 tokens (or other designated means) accepted by us from time to time in your eligible digital wallet.
• 3.3 You acknowledge and accept that while you are guaranteed to receive one or more Prayers depending on the type of Order, there is no guarantee as to which specific Prayers you will receive upon a successful Order. This is because Prayer has the following specifications: 

• (a) with each Order, you will purchase one or more packages of Prayers;
• (b) there will be different types of packages (e.g. a pack, a stack or a bundle) available for purchase through the Store; 
• (c) each type of package will contain different fixed numbers of (but at least one) Prayer; 
• (d) Prayers possess different levels of rarity, maximum supply and current supply, hence the availability of these Prayers will vary at different points in time;
• (e) prior to placing an Order, you will not know which specific Prayers you will receive and the Prayers which you receive will be determined by a pre-set computer algorithm dependent on the following factors:
  • (1) the availability of different Prayers at the time when your Order is processed;
  • (2) the specific point in time when your Order is processed; and
  • (3) the time sequence of your Order against Orders submitted by other users of the Prayer feature.
• (f) we will specify the Prayers which are available, and the likelihood that you will receive each Prayer on our Platform, by blog post or notice.

• 3.4 Your receipt of Prayers upon successfully placing an Order is a purchase of NFTs from the Company and subject to the Guild of Guardians NFT Terms of Sale. 
• 3.5 The Company reserves the right to modify, suspend, or terminate Prayer or any specifications therein (including the pre-set computer algorithm) at any time, in its sole discretion, without prior notice to you. This will not affect your ownership of any Prayers already purchased.

4. Eligibility

‍

• 4.1 You must be at least 18 years old to use the Store.
• 4.2 You must have a valid Game account registered with the Company.
• 4.3 You must have an eligible digital wallet that is connected with your Game account. 
• 4.4 You must meet any additional eligibility requirements under other applicable terms and conditions or specified by the Company in its sole discretion from time to time.

5. Intellectual Property

‍

• 5.1 Subject to the Guild of Guardians NFT Terms of Sale and any other applicable terms and conditions, you acknowledge that any intellectual property associated with Prayers and the Store are solely owned by the Company.

6. Compliance with Laws and Guidelines

‍

• 6.1 You agree to comply with all applicable laws and regulations while using Prayers and the Store. 
• 6.2 You shall not engage in any activities that are fraudulent, misleading, deceptive, or illegal or any behavior or trading mechanism intended to manipulate, circumvent or give a false appearance of trading or gameplay activity.
• 6.3 You shall not engage in any activities that may harm the reputation or integrity of the Game or the Company.

7. Termination

‍

• 7.1 The Company may immediately terminate your use of or access to Prayers and/or the Store at any time without prior notice in the event you breach any material provision of these Terms.
• 7.2 Without prejudice to clause 7.1, the Company may also terminate your access or use of Prayers and/or the Store if you breach any of these terms and fail to remedy the breach to the reasonable satisfaction of the Company within a reasonable time after the Company provide you with a written notice setting out the breach or where the breach is, in the Company’s sole discretion, incapable of being remedied.

8. Limitation of Liability

‍

• 8.1 To the maximum extent permitted by law;

• (a) the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Prayers or the Store, even if advised of the possibility of such damages; and

• (b) the Company’s total liability in connection with your use of Prayers and/or the Store shall not exceed the total market value of the purchase price paid by you at the time when an Order is accepted and this clause shall operate as a cap on the Company’s maximum liability arising under any theory of law or claim.

9. Modifications

‍

• 9.1 The Company reserves the right to modify these Terms at any time, in its sole discretion, by providing notice to you or by posting the updated Terms on the Platform. 
• 9.2 You agree to the modified Terms if you continue to access and use Prayers and/or the Store after the modified Terms are notified to you, or published on our Platform. If you do not agree to the modified Terms, you must discontinue your use of Prayer.

10. Governing Law and Jurisdiction

‍

• 10.1 These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
• 10.2 The parties agree to submit any dispute or claim arising out of, relating to or in connection with these Terms, including its subject matter, formation, existence, validity or termination, to the exclusive jurisdiction of the courts of New South Wales, Australia.
